Crisp Referral Program Terms and Conditions

These Terms and Conditions ("Terms") govern the Crisp Referral Program ("Program") operated by Baskt. Inc. ("Crisp", "we", "us", or "our"). By participating in the Program, you ("Referrer" or "you") agree to be bound by these Terms, as well as our general Terms of Service and Privacy Policy, which are incorporated herein by reference. If you do not agree to these Terms, you must not participate in the Program.

 

Eligibility:
To be eligible to participate in the Program, you must: Be at least 18 years of age; Have the legal capacity to enter into binding agreements;
The following are not eligible for participating the Program: Employees of Crisp and (employees of) strategic partners, including immediate family and household members; Restaurant owners, franchisors, operators, or decision-makers responsible for making the POS purchasing decision referring their own restaurants/franchisees; Individuals who are under the age of 18 years old.

 

Referral Process:
To make a referral under the Program, you must introduce in writing a new potential customer ("Referred Brand") to Crisp after January 2023, that results in a contractual agreement within three (3) months from the date of introduction. The referral must be a new introduction/lead, and the Referred Brand must not have any existing or prior relationship with Crisp.

 

Reward:
If the referral meets the eligibility criteria and conditions set forth in these Terms, you will be eligible for a reward ("Reward") once 80% of the Referred Brand's locations have gone live with Crisp's in-store services. The specific amount (up to $ 5,000.-), type, and method of receiving the Reward will be determined by Crisp in its sole discretion and will be communicated to you upon confirmation of the Referred Brand's eligibility.

 

Reward Conditions:
You will only be eligible for the Reward if:

  1. Referrals are made after January 2023. 

  2. The Referred Brand enters into a contractual agreement with Crisp within three (3) months from the date of introduction;

  3. The contractual agreement includes all locations under the Referred Brand's name;

  4. The Referred Brand is a new customer, and has not been previously contacted, introduced, referred, or engaged with Crisp; and

  5. You comply with all terms and conditions of the Program. 

 

Limitations:
Participation in, or payment from the Program does not constitute an employment contract in any way or form. Also Referrer acknowledges that nothing in these Terms shall be deemed to constitute a partnership, association, or joint venture between Referrer and Crisp, nor shall either party be deemed to constitute an agent of the other party for any purpose whatsoever. 

 

Crisp reserves the right to: 

  1. Limit the number of Rewards that may be earned by a single Referrer;

  2. Modify, suspend, or terminate the Program, or any part thereof, at any time and for any reason, without prior notice; and

  3. Disqualify any Referrer who violates these Terms, the general Terms of Service, the Privacy Policy, or any applicable law, regulation, or requirement.

 

Tax Responsibility:
All amounts paid out are gross amounts. You are solely responsible for any tax liability arising from your participation in the Program, including any taxes related to the receipt of any Reward.

 

Governing Law and Dispute Resolution:
These Terms and any disputes arising out of or relating to the Program will be governed by and construed in accordance with the laws of the jurisdiction in which Crisp is incorporated, without regard to its conflicts of law principles. Any disputes arising out of or relating to the Program shall be resolved in accordance with the dispute resolution provisions set forth in the general Terms of Service.

 

Changes to These Terms:
Crisp may update or modify these Terms at any time and for any reason, without prior notice. Your continued participation in the Program constitutes your acceptance of any changes to the Terms.
